These Terms of Service, along with any documents and additional terms they explicitly reference (collectively, these "Terms"), form a legally binding agreement between Solaris Global Group Inc. ("Solaris," "we," "us," or "our") and you ("you" or "your"). These Terms govern your access to and use of Solaris’ websites, web applications, mobile applications, and all related sites or services provided by Solaris (collectively referred to as the "Site" and the "Services").

These Terms are divided into two sections: (a) Part I covers the general terms applicable to the Site and Services ("General Terms"); and (b) Part II includes specific terms related to particular products or services ("Product Specific Terms"). If there is any conflict between the General Terms and the Product Specific Terms, the Product Specific Terms will take precedence.

By clicking "I agree" (or similar), acknowledging these Terms by other means, or accessing or using the Site or Services, you agree to be bound by these Terms, including the mandatory arbitration provision in Section 14, and confirm that you have read and understood our Privacy Policy as outlined in Section 15.1. If you do not agree with these Terms, you must not use the Site or Services. Please review the disclaimers and important information detailed in Section 12 and other sections before using any software, products, services, or other offerings provided by Solaris.

PLEASE READ THESE TERMS CAREFULLY as they contain a mandatory individual arbitration clause and a waiver of class actions and jury trials in Section 14. This clause requires that disputes be resolved through final and binding arbitration on an individual basis, unless you opt out according to the instructions in Section 14. To the fullest extent permitted by law, you waive the right to pursue claims in court, to have a jury trial, or to participate in any class action or representative proceeding.

PART I: General Terms

1. Modifications to These Terms

We may, at our sole discretion, revise these Terms periodically. If we make changes, we will notify you, such as by updating the "Last Updated" date or through other means. Unless stated otherwise, modifications take effect immediately, and continued use of the Site or Services confirms your acceptance of the updated Terms. If you do not agree with the amended Terms, you must discontinue using the Site and Services.

2. Use of Services

2.1 The Services
The Site offers information and, subject to eligibility and successful completion of our onboarding process, access to certain products operated by Solaris (collectively referred to as "Services"). Note that each product ("Product") is subject to its specific terms and conditions, and Solaris is not responsible for any acts or omissions related to these Products. The Services may include access to APIs, messaging protocols, and other software developed or provided by Solaris. You acknowledge that Solaris does not offer execution, settlement, or clearing services for transactions, and all such activities occur directly on applicable blockchain networks, which Solaris does not control.

2.2 Conditions
As a condition for using the Services or Site, you represent and warrant the following to Solaris:

•   If you are an individual, you are of legal age and have the capacity to enter into these Terms. If you represent an entity, you have the authority to bind that entity to these Terms.
•   You are not located in or a national of any restricted territory, such as Iran, Cuba, North Korea, Syria, or any other area subject to U.S. sanctions.
•   You are not on any sanctions list maintained by the U.S., U.K., E.U., or U.N.
•   You will not use VPNs or other tools to circumvent any restrictions applicable to the Services.
•   Your use of the Services complies with all applicable laws and does not contribute to any illegal activity.

2.3 Acknowledgements
By using the Services or Site, you understand and agree that:

•   The Site and Services may be temporarily unavailable for reasons including maintenance, equipment failure, or issues beyond our control.
•   We may modify or discontinue any part of the Services at any time without liability.
•   Pricing information provided on the Site is for informational purposes only and does not constitute an offer.
•   You are solely responsible for your use of the Services, including all transfers of digital assets.
•   Solaris owes no fiduciary duties to you or any other party.
•   You are responsible for reporting and paying taxes related to your use of the Services.
•   Solaris is not liable for the delivery, quality, or legality of any digital assets you transact.

2.4 User Covenants
By using the Services or Site, you agree to:

•   Only transfer legally obtained digital assets that belong to you.
•   Comply with all applicable laws.
•   Ensure that all information you provide is accurate and up-to-date.
•   Maintain the security of your private keys and other credentials.- 

3. Fees and Price Estimates
You are responsible for paying all fees required for transactions on applicable blockchains, such as Ethereum, and any other fees related to the Services.

4. No Professional Advice or Fiduciary Duties
All information provided through the Site and Services is for informational purposes only and should not be considered professional advice. You should seek independent professional advice before making any decisions involving the Services. These Terms do not create any fiduciary duties for Solaris.

5. Prohibited Activity
You may not use the Services for any illegal activities, including but not limited to:

•   Violating any anti-money laundering or anti-terrorist financing laws.
•   Engaging in transactions involving counterfeit or infringing materials.
•   Interfering with the proper functioning of the Site or Services.
•   Circumventing security measures or accessing the Site through unauthorized means.
•   Transmitting or exchanging digital assets that are proceeds of criminal activity.
•   Engaging in any other illegal or prohibited activities.

6. Content
You grant Solaris a worldwide, royalty-free license to use, copy, modify, and distribute any content you make
available through the Site or Services.

7. Proprietary Rights
All trademarks, logos, and service marks used on the Site are owned by Solaris or its licensors. You may not use them without prior written consent.

8. Third-Party Services
The Services may provide access to third-party services. Solaris is not responsible for the content, availability, or functionality of any third-party services.

9. Modification, Suspension, and Termination
We may modify, suspend, or disable the Services at any time without notice. Your right to use the Services will cease immediately upon termination.

10. Assumption of Risks
By using the Services, you acknowledge the inherent risks associated with blockchain technology and digital assets. Solaris does not control the underlying blockchain networks and is not responsible for any losses or issues related to their use.

11. Indemnification
You agree to indemnify Solaris and its affiliates from any claims or damages arising from your use of the Site or Services.

12. Disclosures; Disclaimers
Solaris provides the Site and Services "as is" and disclaims all warranties, express or implied. We do not guarantee the accuracy, security, or availability of the Site or Services.

13. Limitation of Liability
Solaris' liability is limited to the lesser of $50 or the amount of fees paid by you in the 12 months preceding the claim, except in cases of gross negligence or willful misconduct.

14. Dispute Resolution & Arbitration

14.1 Arbitration Agreement
Any disputes between you and Solaris will be resolved through binding arbitration, not in court. You waive the right to a jury trial or to participate in a class action.

14.2 Right to Opt Out
You may opt out of this arbitration provision by sending written notice to Solaris within 30 days of accepting these Terms.

14.3 Arbitration Process
If a dispute cannot be resolved informally, it will be arbitrated in New York City under JAMS International Arbitration Rules.

14.4 Class Action / Jury Trial Waiver
All disputes must be resolved on an individual basis, and you waive the right to participate in any class or representative action.

14.5 Equitable Relief
Solaris may seek injunctive or other equitable relief in court to protect its intellectual property or confidential information.

14.6 Severability
If any part of this arbitration provision is found to be unenforceable, the remaining parts will still apply.

15. General Information

15.1 Privacy Policy
Refer to our Privacy Policy for information on how we collect and use your data.

15.2 Consent to Electronic Delivery
You consent to receive communications from Solaris electronically.

15.3 Remedies
Any rights or remedies provided by Solaris in these Terms are in addition to any other legal rights or remedies.

15.4 Severability
If any provision of these Terms is found to be invalid, the remaining provisions will remain in effect.

15.5 Force Majeure
Solaris is not liable for any failure to perform due to circumstances beyond its control.

15.6 Assignment
You may not transfer your rights or obligations under these Terms without Solaris' consent.

15.7 Governing Law
These Terms are governed by the laws of Connecticut, except for the arbitration provisions, which are governed by the Federal Arbitration Act.

15.8 Headings
Section headings are for convenience only and do not affect the interpretation of these Terms.

15.9 Entire Agreement
These Terms constitute the entire agreement between you and Solaris regarding the Site and Services.

15.10 Interpretation
In case of conflict between these Terms and any other agreement, these Terms will control unless stated otherwise.

15.11 No Third Parties
There are no third-party beneficiaries to these Terms, except as expressly provided.

PART II: Product Specific Terms

Bridge Service Terms
Solaris’ bridge service allows users to move tokens between different blockchains.

1. Eligibility
You must meet specific requirements to use the Bridge Service.

2. Wallet Connection
To use the Bridge Service, you may need to connect a crypto wallet and provide certain information through third-party services.

3. Fees
You may be required to pay fees, such as gas fees, to use the Bridge Service.

Converter Tool Terms
The "Converter" tool allows users to exchange non-rebasing tokens for rebasing tokens and vice versa.

1. Eligibility
You must meet specific eligibility requirements to use the Converter Tool.

2. Wallet Connection
To use the Converter Tool, you may need to connect a crypto wallet and provide certain information through third-party services.

3. Fees
You may be required to pay fees, such as gas fees, to use the Converter Tool.
